ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On April 25, 2023, the Compensation Committee of the Board of Directors of Carrols Restaurant Group, Inc. (the “Company”) approved the payment of a cash bonus to Anthony E. Hull, the Interim President and Chief Executive Officer and the Chief Financial Officer and Treasurer of the Company, in the amount of $150,000 (the “Bonus”). The Bonus will be paid to Mr. Hull within thirty (30) days after the completion of his service at Interim President and Chief Executive Officer of the Company, which is scheduled to end on May 1, 2023. As previously announced by the Company, Deborah M. Derby was appointed President and Chief Executive Officer of the Company, effective May 1, 2023. Mr. Hull will continue to serve as Chief Financial Officer and Treasurer of the Company after May 1, 2023.
